Terms of Service

These Terms of Service (“Terms”) govern your use of the RunHermes managed Hermes agent service available at https://runhermes.work (the “Service”). The Service is operated by RunHermes, a sole proprietorship of Joseph Cheung registered in Hong Kong SAR. By creating an account or paying for a subscription you agree to be bound by these Terms.
1. The Service
RunHermes hosts and provisions a Hermes agent on your behalf and connects it to messaging channels you authorise (currently Telegram, with WhatsApp on a staged path). The Service abstracts the underlying server, runtime, and channel pairing so you do not need to operate a VPS yourself.
2. Plans and pricing
Subscriptions are billed monthly in Hong Kong Dollars (HKD) through Stripe. Prices below are exclusive of any taxes that may apply in your jurisdiction. New accounts receive a one-time first-month trial price of HK$9.9 on either plan; the regular monthly price applies from the second billing cycle onward.
3. Billing, cancellation, and refunds
- Subscriptions renew automatically every month until you cancel.
- You may cancel by emailing joseph@deptai.work from the address on your account. We will process the cancellation within two business days, and it takes effect at the end of the current billing period. A self-serve cancellation portal is on the roadmap.
- We do not offer pro-rata refunds for partial months. Charges already collected are non-refundable except where required by Hong Kong law.
- If a payment fails, we will retry through Stripe and set a 7-day grace period (gracePeriodEndsAt). If the failure is not resolved by the end of the grace period we may suspend the Service until payment is restored.
4. Acceptable use
You agree not to use the Service to:
- Send unsolicited bulk messages, scams, or other spam.
- Distribute illegal content or content that infringes third-party rights.
- Impersonate another person, brand, or organisation without authorisation.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Probe, scan, or attempt to circumvent rate limits, authentication, or any security mechanism.
- Violate the terms of any connected channel provider (e.g. Telegram Bot Terms of Service or WhatsApp Business Policy).
We may suspend or terminate accounts that breach this section without refund.
5. Service availability
The Service is provided on a best-effort basis. We do not currently offer a contractual uptime guarantee or service-level agreement. Maintenance windows, third-party outages (Clerk, Stripe, Telegram, WhatsApp, OpenRouter, DigitalOcean, Cloudflare), and force-majeure events may cause temporary unavailability.
6. Disclaimer and limitation of liability
The Service is provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, RunHermes' total aggregate liability for any claim arising out of or relating to the Service is limited to the amount you actually paid to RunHermes in the twelve (12) months preceding the event giving rise to the claim.
7. Termination
You may terminate your subscription at any time as described in Section 3. We may suspend or terminate your account if you breach these Terms, if your account is used to harm other users or third parties, or if we are legally required to do so. Upon termination your data is handled per Section 5 of the Privacy Policy.
8. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted, or, at the claimant's option, by the courts of the Hong Kong SAR.
9. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to active subscribers by email at least 30 days before they take effect. Continued use of the Service after a change constitutes acceptance of the updated Terms.
10. Language
These Terms are issued in English, and the English version prevails. Any translated version (including the Traditional Chinese version at /terms) is provided for convenience only; in the event of any inconsistency or conflict between the English version and a translated version, the English version shall govern.
